Covetrus agreed to pay $35 million to settle a securities class action lawsuit accusing the Company of deceiving investors about spin-off and merger with VFC.

The complaint alleged, among other things, that the Company and its Leaders made false and misleading statements on various occasions:
  • related to the spinoff of HSAH from Henry Schein;
  • its merger with VFC to form Covetrus, and the subsequent integration of these two businesses.
As a result, Covetrus’ common stock price was artificially inflated.

Covetrus agreed to settle with investors to avoid further litigation.
